## 2. Ancient8 Governance

### 2.1 Governance Powers Breakdown

#### **2.1.1 Ancient8 Citizens**

Ancient8 Citizens, comprising $A8 token holders and stakers in smart contracts, are the backbone of Ancient8's decentralized governance. They shape the ecosystem by proposing and voting on Ancient8 Improvement Proposals (AIPs), ensuring that the community actively guides the future direction of the Ancient8 Chain.\

Roles and Responsibilities:

* Proposal Creation: Ancient8 Citizens can create and submit AIPs to suggest improvements or changes to the ecosystem. These proposals can range from technical upgrades to policy adjustments and ecosystem enhancements.
* Voting Power: Token holders have voting power proportional to their $A8 holdings or staking. This power allows them to vote on AIPs, ensuring significant decisions reflect the collective voice of the community.
* Community Engagement: Active participation in discussions and debates within the Ancient8 Forum and other governance platforms is encouraged. This engagement helps refine proposals and ensures they align with the broader community's needs and vision.
* Threshold for Proposal Acceptance: For a proposal to be considered valid and move forward, it must meet a quorum requirement of at least 5% of the total $A8 token supply in votes. However, this 5% baseline is subject to variation depending on different proposal types and specific approval thresholds required for implementation. Other conditions may also influence the required percentage to ensure that only proposals with significant community backing are implemented.

#### **2.1.2 Ancient8 Foundation Council**

The Ancient8 Foundation Council is pivotal in fostering the adoption of the Ancient8 Chain and its decentralized governance. It is responsible for proposing technical improvements through AIPs, managing the operational aspects of the chain, ensuring network security and scalability, verifying game studios, and supporting gaming guilds. Additionally, the Foundation Council serves as a bridge between game studios and players, ensuring the rights and interests of both parties are upheld, thereby fostering and developing the ecosystem.&#x20;

Initially, the Foundation Council includes 5 individuals appointed by the Ancient8 Foundation directors:

* Proposing Technical Improvements: Initiating and managing technical AIPs to enhance the Ancient8 Chain.
* Operational Management: Overseeing the day-to-day operations and ensuring network stability and efficiency.
* Verification of Game Studios: Conducting meetings and assessments to verify and onboard game studios.
* Support for Gaming Guilds: Facilitating communication and collaboration with gaming guilds to address community needs and feedback.

Governance Administration: The Foundation will facilitate the administration of the governance procedures described in these Bylaws with the aim of ensuring that the Citizens may participate thoughtfully in governance. Such administrative services may include:

* Moderation of governance proposals to ensure they are validly submitted and voted upon.
* Removal of proposals that reasonably appear to be fraudulent, spam-oriented, defamatory, hateful, or otherwise inappropriate or inconsistent with the values of the Foundation.
* Monitoring of votes, voting power, and voting periods for purposes of determining whether quorums and approval thresholds are met or accurately reflected.
* Management of mutually contradictory proposals that are submitted simultaneously or in close proximity to one another.
* Administration of network maintenance, such as emergency bug fixes or release rollbacks (with or without a governance vote).
* Such other things as the Foundation deems appropriate in connection with the above.

Subject to applicable law, the Foundation Articles and these Bylaws, the Foundation Director(s) will take any Approved Citizens AIP or Approved Progress Council AIP under advisement and, to the extent they desire to adopt such vote, are authorized to take any actions reasonably necessary on behalf of the Foundation to give effect to an Approved Citizens AIP or Approved Progress Council AIP; provided that any Foundation Director may veto a proposal or place such limitations on its observation and implementation a Foundation Director in its discretion, deems necessary or appropriate to:

* Ensure compliance with any applicable law or regulation of any jurisdiction.
* Ensure that the Foundation acts in accordance with the Foundation Articles and these Bylaws.
* To prevent any harm (including reputational harm) to the Foundation.

Future Expansion: To enhance decentralization and better safeguard the rights and interests of all parties involved, the Ancient8 Foundation plans to onboard additional members representing Gaming Guilds, Game Studios, and DApps within the ecosystem. By incorporating these roles and responsibilities, the Foundation Council ensures that the governance of Ancient8 is inclusive, balanced, and responsive to the needs of both players and developers. Seats on the council are elected by citizens, with Ancient8 verifying the reliability of candidates. If seats are occupied, the community can vote for re-election based on performance and reputation.

#### **2.1.3 Security Council**

The Security Council is a committee of six (6) members appointed by the Ancient8 Foundation Directors. These members are signers of a multi-sig wallet, which has powers to perform certain Emergency Actions and Non-Emergency Actions as delegated by the Ancient8 Foundation. The Security Council is essential for maintaining the security and integrity of the Ancient8 Chain, particularly in times of crisis.

**Roles and Responsibilities:**

When in Emergency Actions:

* The Security Council has the authority to execute any software upgrade or perform other required actions without delay to respond to a security emergency, should one arise without specific governance approvals.
* Emergency Actions require a majority approval from the Security Council (4 out of 6 members).
* The Security Council must only use its power to perform Emergency Actions in true security emergencies, such as a critical vulnerability.
* After performing any Emergency Action, the Security Council shall issue a transparency report in a reasonable time to explain what actions were taken and why such Emergency Action was justified.

Oversight and Reporting:

* The Security Council must ensure all actions taken are transparent and justified, providing reports and updates to the Ancient8 Foundation and the community.
* The Foundation Directors, in consultation with the Foundation’s legal counsel, have the authority to curtail or eliminate the Security Council’s power to perform Emergency Actions if necessary.

### 2.2 Governance Tools

Ancient8 provides several governance tools to ensure community participation and effective decision-making within the ecosystem.

Ancient8 Forum: Available at <https://forum.ancient8.gg>, the Ancient8 Forum allows the community to review and discuss governance proposals. It serves as a platform for open dialogue and feedback on proposed changes and initiatives.

Ancient8 Proposal Template: The Ancient8 Proposal Template provides Ancient8 Citizens with a structured format to craft governance proposals in accordance with these Bylaws (the “AIP Template”). This ensures consistency and comprehensiveness in proposal submissions.

Ancient8 Snapshot: Available at <https://snapshot.org/#/ancient8fdn.eth>, the Ancient8 Snapshot allows Ancient8 Citizens to vote on governance proposals. This platform ensures transparent and democratic decision-making, enabling the community to have a direct impact on the future of the Ancient8 Chain.

## 3. Definitions

* AIP: Ancient8 Improvement Proposal, a proposal put forth by a token holder to a vote in accordance with the AIP Process.
* AIP Process: The rules and procedures for submitting and voting on AIPs as described in this document.
* Ancient8 Chain: The series of smart contracts that create the Layer 2 blockchain scaling solution known as Ancient8, tailored for Web3 Gaming & IP.
* $A8 Token: The native token governing the Ancient8 Chain.
* Bylaws: These amended and restated governing bylaws of the Ancient8 Foundation.
* Foundation Director(s): The directors of the Foundation, responsible for management and operation.
* Security Council: The council formed to ensure the security and integrity of the Ancient8 Chain.
* Citizens: Any holder of the $A8 token or staking $A8 in smart contract
* “Quorum Requirements” means at least 5% total supply of $A8 token are cast in the applicable vote.

## 4. Citizens AIPs Categories

Citizens can propose AIPs in several categories, including:

* Developer Grants
* Partnerships
* Allocation of Treasury
* Product Updates
* Ecosystem Improvements
* Appoint, remove or Increase the number of members of the Ancient8 Foundation Council.

## 5. Citizens AIPs Process&#x20;

Phase One - Research and Community Feedback\
Any Citizens who wish to submit an Ancient8 Improvement Proposal (AIP) must first submit a draft of their AIP to the Ancient8 Forum for a Community Feedback Period of at least seven days. During this period, the community reviews and discusses the proposal, and feedback should be incorporated into the AIP.

Phase Two - Foundation council Review\
After the Community Feedback Period, the updated AIP is submitted to the Ancient8 Foundation Council for review. The Foundation Council will review Submitted AIPs every other Friday. AIPs submitted by Citizens who are holding or staking less than a specific amount of $A8 tokens (e.g., 50,000 tokens - TBD) will not be considered by the Foundation Council and will be removed from the forum by a Moderator. In reviewing Submitted AIPs, the Foundation Council may:

1. Allow the Submitted AIP to progress to Phase Three.
2. Direct the Citizen(s) who submitted the AIP to provide additional information or update the Submitted AIP.
3. Reject the Submitted AIP if it is determined that it is not safe, secure, or consistent with the purposes of the Foundation or may not be legally compliant. A majority of the members of the Foundation council must vote in favor of the rejection.

Phase Three - Snapshot Voting\
After review and approval of the Submitted AIP by the Foundation council, a Moderator will:

1. Move the Submitted AIP to the Voting Forum in the Ancient8 Forum.
2. Add the Submitted AIP to Snapshot.org, at which point the Submitted AIP becomes a “Live AIP.”
3. One (1) Token is equal to one (1) vote on any Live AIP. The voting options for any Live AIP shall be “In favor,” “Against,” and “Abstain.”
4. Live AIPs that (1) satisfy the Quorum Requirements and (2) receive a majority of the votes cast in favor of it shall be considered to be “Approved Citizens AIPs.”&#x20;
5. A Live AIP that either does not meet the Quorum Requirements or meets the Quorum Requirements but fails to receive a majority of votes cast in favor of it shall be considered a “Failed Citizens AIP”.
6. Approved Citizens AIPs will move to Phase 4. Failed Citizens AIPs may be resubmitted for Foundation consideration only after sixty (60) days have elapsed from the date the Citizens AIP was considered to be a Failed Citizens AIP.

Phase Four - Implementation\
Approved AIPs will be implemented by the Ancient8 Foundation in a commercially reasonable time and manner. However, if the Foundation Directors, acting in the best interests of the Foundation, determine that an approved AIP would:

1. Compromise the Foundation Directors' fiduciary duties as they are owed to the Foundation.
2. Be in violation of any part of these Bylaws, the Foundation Articles, the AIP Process, any statutory requirements of relevant law, or the laws or regulations of any other applicable jurisdiction.
3. Cause the Foundation to be in breach of any contracts, agreements, or other arrangements.
4. Be against the best interests of the Foundation or the Ancient8 Chain.

The Foundation Directors may direct the Foundation Council to take such other steps as are required to amend, augment, reject, or remediate the enactment of such AIP.

## 6. Ancient8 Foundation Council Proposal

### Proposal Scope

Proposals by the Ancient8 Foundation Council primarily focus on technical aspects, system upgrades, and security measures. These proposals ensure that the chain remains robust, secure, and capable of supporting the growing ecosystem.

Any member of the Ancient8 Foundation Council who wishes to submit an Ancient8 Improvement Proposal (AIP) for Foundation consideration shall comply with the following:

**Phase One - Foundation Council Review and Vote**\
Any member of the Ancient8 Foundation Council can submit an AIP to the other members by posting in the Foundation Council Forum in the Ancient8 Discourse. The AIP shall be in the form of the AIP Template. Within three (3) calendar days of being posted, the Foundation Council shall review and vote on it. A majority of the members are required to approve the AIP. If there are less than five (5) members on the Foundation Council, a majority of the filled seats must vote in favor for it to be approved. In the event of a tie, the Foundation Director(s) may approve the AIP, moving it to Phase Two.

**Phase Two - Citizens Veto**\
Within three (3) calendar days of an AIP being approved by the Foundation Council, a Moderator shall post it on the Ancient8 Snapshot for a veto vote. If the Quorum Requirements are met and a majority of the votes cast are in favor of vetoing the AIP, the proposal will not be enacted. The veto period lasts seven (7) calendar days from posting.

**Phase Three - Implementation**\
Approved Foundation Council AIPs that are not vetoed during the Veto Period will be implemented by the Foundation in a commercially reasonable time and manner. However, if the Foundation Director(s) determine that the AIP, if implemented, would:

1. Compromise their fiduciary duties to the Foundation.
2. Violate any part of the Governance Documentation, the AIP Process, any statutory requirements of applicable law, or the laws of any other jurisdiction.
3. Cause the Foundation to breach any contracts, agreements, or arrangements.
4. Be against the best interests of the Foundation or the Ancient8 Chain.

The Foundation Director(s) may take steps to amend, augment, reject, or remediate the enactment of such AIP.

## 7. Other Related Issues

#### Emergency Actions by the Security Council

The Security Council has the authority to execute emergency actions without specific governance approvals to respond to security threats. Transparency reports will be issued post-action.

#### Additional Guidelines

**True and Complete**

By submitting an AIP, you represent and warrant to the Foundation Council and the Ancient8 Foundation that all the information it contains is true and complete to the best of your knowledge.

**Prior Proposals**

Sometimes, AIPs aren’t passed on their initial submissions. If an AIP is not passed, the proposer may resubmit the AIP after sixty (60) days and should address the concerns of the community. The proposer should include the following additional sections in the resubmitted AIP:

* A link to the previous AIP: The link to the previous AIP should be included in the resubmitted AIP.
* Reasons why the AIP was not passed: The reasons why the AIP was not passed should be included in the resubmitted AIP.
* Changes made to the AIP: The changes made to the AIP should be included to address the concerns raised during the previous AIP submission.
* Additional information: More detailed intentions, specifics, and implication details can help the community understand the revised AIP, increasing the chances of it being passed.

**Code Change**

Proposals that require code changes should include the code that will be executed when the proposal is passed. This code should handle the data structures, logic, executable data, and execution of the proposal. All code changes should include audit reports.

# Using Hardhat

Hardhat is an Ethereum development environment for flexible, extensible, and fast smart contract development.

You can use Hardhat to edit, compile, debug, and deploy your smart contracts to Ancient8.

## Using Hardhat

This section will guide you through deploying an NFT smart contract (ERC-721) on the Ancient8 test network using [Hardhat](https://hardhat.org/).

### Objectives <a href="#objectives" id="objectives"></a>

By the end of this guide you should be able to do the following:

* Setup Hardhat for Ancient8 Testnet
* Create an NFT smart contract for Ancient8 Testnet
* Compile a smart contract for Ancient8 Testnet
* Deploy a smart contract to Ancient8 Testnet
* Interact with a smart contract deployed on Ancient8 Testnet

### Prerequisites <a href="#prerequisites" id="prerequisites"></a>

#### Node v18+

This guide requires you have Node version 18+ installed.

#### Wallet funds?

Deploying contracts to the blockchain requires a gas fee. Therefore, you will need to fund your wallet with **Sepolia ETH** to cover those gas fees.

### Creating a project <a href="#creating-a-project" id="creating-a-project"></a>

Before you can begin deploying smart contracts to Ancient8 Testnet, you need to set up your development environment by creating a Node.js project.

To create a new Node.js project, run:

```
npm init --y
```

Next, you will need to install Hardhat and create a new Hardhat project

To install Hardhat, run:

```
npm install --save-dev hardhat
```

To create a new Hardhat project, run:

```
npx hardhat
```

Select Create a TypeScript project then press enter to confirm the project root.

Select y for both adding a .gitignore and loading the sample project. It will take a moment for the project setup process to complete.

### Configuring Hardhat with Ancient8 <a href="#configuring-hardhat-with-base" id="configuring-hardhat-with-base"></a>

In order to deploy smart contracts to the Ancient8 Testnet, you will need to configure your Hardhat project and add the Ancient8 Testnet.

To configure Hardhat to use Ancient8 Testnet, add Ancient8 Testnet as a network to your project's `hardhat.config.ts` file:

#### Install Hardhat toolbox[​](https://docs.base.org/guides/deploy-smart-contracts#install-hardhat-toolbox) <a href="#install-hardhat-toolbox" id="install-hardhat-toolbox"></a>

The above configuration uses the `@nomicfoundation/hardhat-toolbox` plugin to bundle all the commonly used packages and Hardhat plugins recommended to start developing with Hardhat.

To install `@nomicfoundation/hardhat-toolbox`, run:

npm install --save-dev @nomicfoundation/hardhat-toolbox
```

#### Loading environment variables <a href="#loading-environment-variables" id="loading-environment-variables"></a>

The above configuration also uses [dotenv](https://www.npmjs.com/package/dotenv) to load the `WALLET_KEY` environment variable from a `.env` file to `process.env.WALLET_KEY`. You should use a similar method to avoid hardcoding your private keys within your source code.

To install `dotenv`, run:

```
npm install --save-dev dotenv
```

Once you have `dotenv` installed, you can create a `.env` file with the following content:

```
WALLET_KEY=<YOUR_PRIVATE_KEY>
```

Substituting `<YOUR_PRIVATE_KEY>` with the private key for your wallet.

`WALLET_KEY` is the private key of the wallet to use when deploying a contract. For instructions on how to get your private key from Metamask, visit the [Metamask documentation](https://support.metamask.io/hc/en-us/articles/360015289632-How-to-export-an-account-s-private-key). **It is critical that you do NOT commit this to a public repo**

### Compiling the smart contract <a href="#compiling-the-smart-contract" id="compiling-the-smart-contract"></a>

Below is a simple NFT smart contract (ERC-721) written in the Solidity programming language:

The Solidity code above defines a smart contract named `NFT`. The code uses the `ERC721` interface provided by the [OpenZeppelin Contracts library](https://docs.openzeppelin.com/contracts/4.x/) to create an NFT smart contract. OpenZeppelin allows developers to leverage battle-tested smart contract implementations that adhere to official ERC standards.

To add the OpenZeppelin Contracts library to your project, run:

```sh
npm install --save @openzeppelin/contracts
```

In your project, delete the `contracts/Lock.sol` contract that was generated with the project and add the above code in a new file called `contracts/NFT.sol`. (You can also delete the `test/Lock.ts` test file, but you should add your own tests ASAP!).

To compile the contract using Hardhat, run:

```shell
npx hardhat compile
```

### Deploying the smart contract <a href="#deploying-the-smart-contract" id="deploying-the-smart-contract"></a>

Once your contract has been successfully compiled, you can deploy the contract to the Ancient8  Testnet.

To deploy the contract to the Ancient8 Testnet, you'll need to modify the `scripts/deploy.ts` in your project:

```typescript

  const nft = await ethers.deployContract('NFT');

  await nft.waitForDeployment();

// We recommend this pattern to be able to use async/await everywhere

```

You'll also need **Sepolia ETH** in your wallet. See the [prerequisites](#prerequisites) if you haven't done that yet. Otherwise, the deployment attempt will fail.

Finally, run:

```bash
npx hardhat run scripts/deploy.ts 
```

The contract will be deployed on the Ancient8 Testnet. You can view the deployment status and contract by using a [block explorer](https://testnet.a8scan.io) and searching for the address returned by your deploy script. If you've deployed an exact copy of the NFT contract above, it will already be verified and you'll be able to read and write to the contract using the web interface.

# Using Remix

[Remix](https://remix.ethereum.org/) is an online IDE that you can use to rapidly develop and deploy smart contracts. If you're new to smart contracts, it's a great tool that lets you jump right in without needing to configure a local editor or struggle through environment configuration issues before getting started.

Remix contains a simulation of a blockchain that you can use to rapidly deploy and test your contracts. This simulation only exists within your browser, so you can't share it with others or use external tools or a front end to interact with it. However, you can also deploy to a variety of testnets from within Remix. Doing so will allow you to share your contract with others, at the cost of making it public.

In this article, we'll give you an overview of Remix, and show you how to deploy a contract to **Ancient8 Testnet**.

### Remix Window Overview[​](https://docs.base.org/guides/deploy-with-remix#remix-window-overview) <a href="#remix-window-overview" id="remix-window-overview"></a>

Begin by opening a browser window and navigating to \[remix.ethereum.org]. Click through the introductory tips, then review the editor. It is divided into three areas, which should look familiar.

#### Editor Pane[​](https://docs.base.org/guides/deploy-with-remix#editor-pane) <a href="#editor-pane" id="editor-pane"></a>

The editor pane loads with the Remix home screen, which contains news, helpful links, and warnings about common scams. You can close the home tab if you'd like, then open `1_Storage.sol`, located inside the `contracts` folder of the `default_workspace`.

You'll edit your code in the editor pane. It also has most of the features you're expecting, such as syntax and error highlighting. Note that in Remix, errors are not underlines. Instead, you'll see an❗to the left of the line number where the error is present.

At the top, you'll see a big green arrow similar to the *Run* button in other editors. In Solidity, this compiles your code, but it does not run it because you must first deploy your code to the simulated blockchain.

#### Terminal/Output[​](https://docs.base.org/guides/deploy-with-remix#terminaloutput)

Below the editor pane, you'll find the terminal.

You'll primarily use this panel to observe transaction logs from your smart contracts. It's also one way to access Remix's powerful debugging tools.

#### Left Panel[​](https://docs.base.org/guides/deploy-with-remix#left-panel) <a href="#left-panel" id="left-panel"></a>

As with many other editors, the left panel in Remix has a number of vertical tabs that allow you to switch between different tools and functions. You can explore the files in your current workspace, create and switch between workspaces, search your code, and access a number of plugins.

### Plugins[​](https://docs.base.org/guides/deploy-with-remix#plugins)

Most of the features in Remix are plugins and the ones you'll use the most are active by default. You can view and manage plugins by clicking the plug button in the lower-left corner, right above the settings gear. You can turn them off and on by clicking activate/deactivate, and some, such as the *Debug* plugin will be automatically activated through other parts of the editor.

#### Solidity Compiler[​](https://docs.base.org/guides/deploy-with-remix#solidity-compiler) <a href="#solidity-compiler" id="solidity-compiler"></a>

The first default plugin (after the search function) is the *Solidity Compiler*. Be sure to check the `Auto compile` option. Smart contracts are almost always in very small files, so this shouldn't ever cause a performance problem while editing code.

The `Compile and Run script` button in this plugin is a little misleading. This is **not** how you will usually run your contract through testing. You can click the `I` button for more information on this feature.

Finally, if you have errors in your contracts, the complete text for each error will appear at the bottom of the pane. Try it out by introducing some typos to `1_Storage.sol`.

#### Deploy & Run Transactions[​](https://docs.base.org/guides/deploy-with-remix#deploy--run-transactions) <a href="#deploy--run-transactions" id="deploy--run-transactions"></a>

The *Deploy & Run Transactions* plugin is what you'll use to deploy your contracts and then interact with them. At the top are controls to select which virtual machine to use, mock user wallets with test Ether, and a drop down menu to select the contract you wish to deploy and test.

Fix any errors you introduced to `1_Storage.sol` and click the orange `Deploy` button. You'll see your contract appear below as *STORAGE AT \\\<address>*.

**CAUTION**\
There are a couple gotchas that can be very confusing with deploying contracts in Remix.

First, every time you hit the Deploy button, a new copy of your contract is deployed, but the previous deployments remain. Unless you are comparing or debugging between different versions of a contract, or deploying multiple contracts at once, you should click the `Trash` button to erase old deployments before deploying again.

Second, if your code will not compile, **clicking the deploy button will not generate an error!** Instead, the last compiled version will be deployed. Visually check and confirm that there are no errors indicated by a number in a red circle on top of the Compiler plugin.

### Prepare for Deployment[​](https://docs.base.org/guides/deploy-with-remix#prepare-for-deployment) <a href="#prepare-for-deployment" id="prepare-for-deployment"></a>

Testnets operate in a similar, **but not exactly the same** manner as the main networks they shadow. You need a wallet with the appropriate token to interact with them by deploying a new contract or calling functions in a deployed contract.

#### Set Up a Wallet[​](https://docs.base.org/guides/deploy-with-remix#set-up-a-wallet) <a href="#set-up-a-wallet" id="set-up-a-wallet"></a>

If you already have a wallet set up **exclusively for development**, you can skip to the next section. Otherwise, now is the time to jump in!

**DANGER**

It is very dangerous to use a wallet with valuable assets for development. You could easily write code with a bug that transfers the wrong amount of the wrong token to the wrong address. Transactions cannot be reversed once sent!

Be safe and use separate wallets for separate purposes.

First, add the [Metamask](https://metamask.io/) wallet to your browser, and set up a new wallet. As a developer, you need to be doubly careful about the security of your wallet! Many dApps grant special powers to the wallet address that is the owner of the contract, such as allowing the withdrawal of all the Ether that customers have paid to the contract, or changing critical settings.

Testnet tokens have no real value, but the supply is not unlimited. You can use a faucet to get a small amount of Sepolia Ether to pay gas fees for testing. Most faucets allow you to ask for a small amount each day, and some won't send you more if your balance is too high.

You can find many faucets by searching, and it's good to keep a few bookmarked because they have a tendency to go down from time to time. Faucet providers are constantly combating bad actors and sometimes need to disable their faucets while doing so.

Once you have testnet Ether, you can deploy the `Storage` contract!

Open the *Deploy & Run Transactions* tab. Under *Environment*, select *Injected Provider*. It will list *Metamask* or any other wallet you have activated here.

The first time you do this, your wallet will ask you to confirm that you want to connect this dApp (Remix) to your wallet.

Click the orange *Deploy* button. Because it costs gas to deploy a contract, you'll be asked to review and confirm a transaction.

Always carefully review all transactions, confirming the transaction cost, assets transferred, and network. As a developer, you'll get used to approving transactions regularly. Do the best you can to avoid getting into the habit of clicking *Confirm* without reviewing the transaction carefully. If you feel pressured to *Confirm* before you run out of time, it is almost certainly a scam.

After you click the *Confirm* button, return to Remix and wait for the transaction to deploy. Copy its address and navigate to [scanv2-testnet.ancient8.gg](https://scanv2-testnet.ancient8.gg/).&#x20;

### Verify the Contract[​](https://docs.base.org/guides/deploy-with-remix#verify-the-contract)

You don't need to verify the contract if you've deployed one identical to a contract that has already been verified.

You can interact with your deployed contract using Remix, the same as before, but it's also possible to interact with it through Etherscan. Paste your address in the search field to find it.

On this page, you can review the balance, information about, and all the transactions that have ever occurred with your contract.

Click the *Contract* tab in the main panel. If you've deployed a unique contract, at the top is a message asking you to *Verify and Publish* your contract source code.

Verifying your contract maps the names of your functions and variables to the compiled byte code, which makes it possible to interact with the contract using a human-readable interface.

Click the link. Your contract address is already entered.

Under *Please select Compiler Type* choose \_Solidity (Single file)

For *Please Select Compiler Version* select the version matching the `pragma` at the top of your source file. Our examples are currently using *v0.8.18+commit.87f61d96*.

For *Please select Open Source License Type* pick the license that matches what you selected for your contract as the `SPDX-License-Identifier`. Pick *None* if you followed the Solidity-recommended practice of using `UNLICENSED`.

On the next page, copy and paste your source code in the window. Verify that you are not a robot, and click *Verify and Publish*. You should see a success message.

Click the linked address to your contract to return to the contract page. You'll now see your code!

You can now interact with your contract using Etherscan. Click the *Read Contract* button. Both of your functions will be listed here and can be tested using the web interface.

You won't have anything under *Write Contract* because this contract doesn't have any functions that save data to state.

The create command generates a new directory with your project name. Open this directory in your text editor.

Inside the `contracts` folder, you'll find a `Contract.sol` file; this is our smart contract written in Solidity!

If we take a look at the code, you can see that our contract is inheriting the functionality of [`ERC721Base`](https://portal.thirdweb.com/contractkit/base-contracts/erc-721/erc721base), by:

1. [Importing](https://solidity-by-example.org/import/) the contract
2. [Inheriting](https://docs.soliditylang.org/en/v0.8.17/contracts.html#inheritance) the contract; by declaring that our contract is ERC721Base
3. Implementing any [required methods](https://portal.thirdweb.com/contractkit/base-contracts/erc-721/erc721base#implementing-the-contract) such as the [constructor](https://docs.soliditylang.org/en/v0.8.17/contracts.html#constructors).

This inheritance pattern lets us use functionality from other contracts inside of ours, modify it, and add custom logic.

For example, our contract currently implements all of the logic inside the [`ERC721Base.sol`](https://github.com/thirdweb-dev/contracts/blob/main/contracts/base/ERC721Base.sol) contract; which implements the [`ERC721A`](https://github.com/thirdweb-dev/contracts/blob/main/contracts/eip/ERC721A.sol) standard with several useful [extensions](https://portal.thirdweb.com/contractkit/extensions).

You can use the thirdweb [CLI](https://portal.thirdweb.com/cli) to deploy a smart contract to Ancient8.

To deploy your smart contracts, from the root directory of your project, run:

npx thirdweb deploy
```

Running this command will:

* Compile all the contracts in the current directory.
* Allow you to select which contract(s) you want to deploy.
* Uploads your contract source code ([ABI](https://docs.soliditylang.org/en/v0.8.17/abi-spec.html)) to [IPFS](https://docs.ipfs.tech/concepts/what-is-ipfs/)
* Open the deploy flow in the dashboard

From the dashboard, you will need to first enter the values for our contract's constructor:

* `_name`: The name of our contract
* `_symbol`: The symbol or "ticker" given to our contracts tokens
* `_royaltyRecipient`: The wallet address that will receive the royalties from secondary sales
* `_royaltyBps`: The basis points (bps) that will be given to the royalty recipient for each secondary sale, e.g. 500 = 5%

Finally, select the **Ancient8 Testnet** as the [network](https://blog.thirdweb.com/guides/which-network-should-you-use/) you want to deploy to, and click **Deploy Now**.

This wrapper allows us to use all of the [React SDK](https://portal.thirdweb.com/react)'s hooks and [UI Components](https://portal.thirdweb.com/react/react.web3button) throughout the application, as well as configure an `activeChain`; which declares which chain our smart contracts are deployed to.

Since we deployed our smart contract to the **Ancient8 Testnet**, we'll set the `activeChain` to **Ancient8 Testnet**:

# Using thirdweb

Before developing a DApp, you need to create an NFT collection via thirdweb.

Follow these steps to set up your NFT collection:

# USDC Bridging Compliance Policy

*Latest update: 12 AM (GMT+7) 23 January, 2024*

### 1. Introduction

This USDC Bridging Compliance Policy outlines the requirements and procedures for clients engaging in bridging activities involving USDC (US Dollar Coin). The purpose of this policy is to ensure the security, transparency, and responsible use of the bridging infrastructure. Clients must adhere to the following criteria to participate in the USDC bridging process.

### 2. Security Audit

Clients seeking to bridge USDC must undergo a thorough security audit conducted by our trusted auditing firm. The audit is designed to assess the security measures, code quality, and overall robustness of the bridging implementation. Clients are responsible for the cost of Auditing Service from our trusted auditing firm at a discounted rate.

The auditing firm's approval is a prerequisite for participating in the USDC bridging process.

### 3. Multisig Wallet Requirement

The bridge minter, responsible for creating and managing USDC tokens on the bridging platform, must be a multisignature (multisig) wallet. The multisig wallet configuration should include a minimum of three (3) signers. These signers must be designated individuals or entities with appropriate authorization and responsibility.

### 4. Bridge Mint Limit

A cap is imposed on the total amount of USDC that can be minted through the bridging process. The bridge mint limit is set at a particular threshold in USDC (to be confirmed directly with Ancient8). Once this limit is reached, further minting will be temporarily halted until a peer review process is conducted.

### 5. Peer Review Process

When the bridge mint limit is reached, a peer review will be initiated. The peer review involves a comprehensive examination of the bridging activities, security measures, and compliance with this policy. The review will be conducted by a designated team of experts within the organization.

Upon successful completion of the peer review, the bridge mint limit may be renewed, adjusted, or extended based on the findings and recommendations of the review team.

### 6. Reporting and Compliance Monitoring

Clients are required to promptly report any suspicious activities, security incidents, or potential vulnerabilities related to the USDC bridging process. Regular compliance monitoring will be conducted to ensure ongoing adherence to this policy.

### 7. Failure to Comply Consequences

In the event of a failure to comply with this USDC Bridging Compliance Policy, the following consequences will be enforced:

#### 7.1 Revocation of Minter Role

If an exploit or non-compliance is detected, the minter role responsible for creating and managing USDC tokens will be immediately revoked. This action aims to prevent further unauthorized minting and protect the integrity of the bridging infrastructure.

#### 7.2 Halting Bridge Functionality

Simultaneously, the bridge functionality on the user interface (UI) will be promptly halted to mitigate the risk of users being exploited. This measure ensures that no additional bridging transactions can occur until the security issues are addressed and resolved.

#### 7.3 Transparent Incident Report by Bridging Partner

Bridging partners found in non-compliance must conduct a transparent incident report outlining the details of the security incident or exploit. This report should include a comprehensive analysis of the root cause, impact, and steps taken to remediate the issue.

#### 7.4 User Compensation Obligation

Bridging partners are obligated to compensate affected users for any losses incurred as a result of the exploit or security incident. Compensation should be fair and proportionate to the damages suffered by the users.

#### 7.5 Smart Contract Upgrade Requirement

Bridging partners must promptly perform upgrades to the smart contracts associated with the bridging process to address and fix the identified exploits. The upgraded smart contracts should undergo a security audit and adhere to industry best practices to prevent similar incidents in the future.

#### 7.6 Temporary Suspension of Bridging Privileges

In severe cases of non-compliance, a temporary suspension of bridging privileges may be imposed on the offending party. The duration of the suspension will be determined based on the severity of the violation and the promptness of the remediation efforts.

#### 7.7 Reinstatement Conditions

To reinstate bridging privileges, the bridging partner must demonstrate full compliance with this policy, complete necessary security upgrades, and provide evidence of the implementation of corrective measures to prevent future incidents.

Non-compliance consequences are intended to ensure the swift resolution of security incidents, protect user funds, and maintain the integrity of the USDC bridging infrastructure. The severity of consequences will be assessed on a case-by-case basis, considering the nature and impact of the security incident or exploit.

This policy is subject to change at the discretion of the organization. Clients will be notified of any updates or modifications to this policy.

1.5. The term "Ancient8", its domain names and any other trademarks, or service marks used by Ancient8 as part of the Service (the "Trademarks"), are solely owned by Ancient8. In addition, all content on the website, including, but not limited to, the images, pictures, graphics, photographs, animations, videos, music, audio, and text (the "Site Content") belongs to Ancient8 and is protected by copyright and/or other intellectual property or other rights. You hereby acknowledge that by using the Service, you obtain no rights in the Site Content and/or the Trademarks, or any part thereof. Under no circumstances may you use the Site Content and/or the Trademarks without Ancient8’s prior written consent. Additionally, you agree not to do anything that will harm or potentially harm the rights, including the intellectual property rights of Ancient8.

The Services, the Site and the Platform are not available to residents of Afghanistan, American Samoa, Angola, Armenia, Azerbaijan, Balkans, Belarus, Bosnia and Herzegovina, Botswana, Burundi, Cambodia, Cameroon, Canada, Central African Republic, Chad, Crimea of Ukraine, Cuba, Democratic People's Republic of Korea, Democratic Republic of the Congo, England and Wales, Eritrea, Ethiopia, Ghana, Guam, Guinea, Guinea-Bissau, Haiti, Iran, Iraq, Japan, Laos, Lebanon, Liberia, Libya, Madagascar, Mali, Mozambique, Myanmar (Burma), Nicaragua, Northern Mariana Islands, Pakistan, People’s Republic of China, Puerto Rico, Republic of the Congo, Russia, Somalia, South Sudan, Sri Lanka, Sudan, Syrian Arab Republic (Syria), Tajikistan, Trinidad and Tobago, Turkmenistan, Uganda, United Kingdom, Uzbekistan, Vanuatu, Venezuela, Vietnam, Virgin Islands (U.S.), Yemen, and Zimbabwe and any other jurisdiction in which accessing or using our protocol is prohibited (each a “Restricted Country”). We reserve the right to choose markets and jurisdictions to conduct business and may restrict or refuse the access of the Site and our Services in other countries or regions in our sole discretion.

1.7. Without limiting the foregoing, you represent, warrant, and covenant that you are not, and for the duration of the time you use the Services, will not be: (a) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to the United Nations Security Council, the European Union, His Majesty’s Treasury, and U.S. Department of Treasury), or (b) a citizen, resident, or organized in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions by the United Nations, European Union, any EU country, UK Treasury, or the United States. If at any point the above is no longer true, you must immediately cease using the Services.

### 2. Protocol

The Site is an interface that enables you to interact with Ancient8 Chain, which is a layer 2 decentralised autonomous smart contract system deployed on Ethereum (the “Protocol”). The Protocol is comprised of smart contracts deployed on the blockchain network(s) that operate in a decentralised and autonomous manner. These smart contracts can be reviewed, verified, used, copied, modified, and distributed by anyone (subject to the terms of the applicable license). Accordingly, there might be other interfaces enabling interaction with the Protocol that we neither control nor are affiliated with. Furthermore, anyone can interact directly with the Protocol bypassing us and other interfaces. You should carefully and thoroughly review and assess the Protocol and related software before you use them, and any such use shall be at your own risk. You should always do your own research.

You further acknowledge that we do not control the Protocol, its underlying blockchain networks, and any software through which such network is formed. We only provide the users with the Website being an interface to access the Protocol. Accordingly, in no event shall we be responsible for or held liable in connection with the Protocol, underlying blockchain networks or software, their operation, functioning, implementation, or use, and you hereby assume and accept any and all related risks, including the risk of possible losses and damages that you may incur in connection with the use thereof.

### 3. Accessing the Services

The Company grants you a revocable, non-exclusive, non-transferable, limited license to use the Services (information or software) on the Site in accordance with these Terms of Service and applicable Service Terms. This is the grant of a license, not a transfer of title, and under this license, you may not:

* modify or copy the materials;
* attempt to decompile or reverse engineer any software contained on the Site;
* remove any copyright or other proprietary notations from the materials; or
* transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Company at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

You must keep secret all credentials associated with the Services. You are solely responsible for managing and maintaining the security of any information relating to such credentials and agree that Company shall not be held responsible (and you shall not hold us responsible) for any unauthorized access to the Services or any resulting harm you may suffer.

You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

Your access to one or more Services may be contingent upon satisfaction of our onboarding processes, which may include verification of your identity and additional information we may request from time-to-time. The information we request may include, without limitation, personally identifiable information such as network address, name, email, address, telephone number, date of birth, taxpayer identification or social security number, official government-issued photo identification, and bank account information or other information we may reasonably deem helpful in satisfying our risk management or legal obligations. In providing this information to us you represent that it is accurate and agree to update your information promptly, but in no event later than 14 days following any change in your information. Failure to provide information or update it promptly may result in Services or funds being unavailable to you.

Any and all communications from the Company may be provided to you via electronic mail at the address you provided when accessing the Services. Company shall not be responsible for any harm you may suffer as a result of your failure to receive any notice provided to you in connection with your use of Services so long as such notice is provided to such email address. You understand that we cannot and do not guarantee or warrant that files available for downloading from the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

In considering whether to hold digital assets, you should be aware that the price or value of digital assets can change rapidly, decrease, and potentially even fall to zero. You acknowledge that we are not responsible for any loss of your digital asset resulting from theft, loss, or mishandling of digital asset private keys outside our control.

We do not warrant or represent that the Tokens, the Project or any such related software are secure or safe, or protected from phishing, malware or other malicious attacks. Further, the Tokens, the Project and their related software may contain weaknesses, bugs, vulnerabilities, viruses or other defects which may have a material adverse effect on the operation of the Tokens, the Project or any such related software or may lead to losses and damages for you, other users of the Tokens, the Project or any such related software or third persons.

The Tokens, the Project and their related software are or will be deployed on the Ethereum blockchain main network, and later may be deployed on other blockchains. As a result, any malfunction, breakdown or abandonment of such blockchain(s) may have a material adverse effect on the Tokens, the Project or such related software. Moreover, advances in cryptography, or technical advances such as the development of quantum computing, could present risks to the Tokens, the Project or such related software, and related blockchain software by rendering ineffective the cryptographic consensus mechanism that underpins the blockchain.

The underlying logic of the Tokens, the Project and their related software may be flawed, defective or impaired, which can result in smart-contracts operating incorrectly or not as expected, or transactions being executed in violation of logic which underpins the smart-contracts, which can lead to partial or complete loss of digital assets used in the transaction.

6.1. There is a risk of losing cryptocurrency & other funds of value when using the Service and Ancient8 has no responsibility to you for any such loss;

6.2. Your use of the Service is at your sole option, discretion, and risk. You hereby accept full responsibility for any consequences that may arise from your use of the Services, and expressly agree and acknowledge that Ancient8 shall have absolutely no liability in this regard.

6.3. You are solely responsible for any applicable taxes which may be payable on cryptocurrency traded or transacted by you through your using the Service;

6.4. Any cryptographic tokens, blockchain technology, or distributed ledger technology-related projects are new and relatively untested, and outside of both our and our Clients’ exclusive control. Any adverse changes in market forces, technology, and regulatory environment impacting our performance under this Agreement shall absolve us from responsibility in this regard, including but not limited to hacking attacks, possible theft, unfavorable regulatory action, or unclear legal/tax status of cryptographic tokens.

6.5. (i) You are eighteen years of age or older, (ii) you are of the age of majority in your jurisdiction, (iii) you are accessing the Service from a jurisdiction in which it is legal to do so, and you are not from any Restricted Country, (iv) your use of the Services is not prohibited by applicable law, and at all times compliant with applicable law, (v) you are aware of the risks associated with transactions of encrypted or digital tokens or cryptocurrencies with a certain value that are based on blockchain and cryptography technologies and are issued and managed in a decentralized form and (v) you are solely responsible and will assume all risks for use of the Services and, if applicable, for all activities that occur on or through your User Account.

6.6 You may not use our services (or facilitate others to use our services) to:

* Undertake any illegal or fraudulent activity, including violation of intellectual property rights of Ancient8 or any other party;
* Undertake any activity that is threatening or abusive or be likely to harass, upset, embarrass or annoy any other person;
* Undertake any activity that promotes violence, terrorism, child sexual exploitation, abuse or other serious harm;
* Publishes or seek to disseminate any defamatory, obscene, offensive or misleading material, in the reasonable opinion of Ancient8; Avoid or circumvent any applicable sanctions, including those maintained by the United Nations Security Council (“**UNSC**”), the United States Department of the Treasury’s Office of Foreign Assets Control (“**OFAC**”) and the Australian Government Department of Foreign Affairs and Trade (“**DFAT**”) or any other applicable regime;
* Breach any legal duty owed to a third party or promote illegal activity;
* Generate excessive volume of calls to Ancient8’s systems or APIs, such as to attempt to provide an unfair advantage to a specific market making tool over other market participants;
* Solicit Ancient8’s users for commercial purposes or disparage Ancient8 or our partners;
* Seek to pre-fetch, cache, index, copy, re-utilise, extract, incorporate, store (including in a database) or otherwise utilise any of Ancient8’s products or services in a way which would effectively circumvent the Platform or any automated fee calculation or collection;
* Undertake any activity that would have the effect of reselling the services and functions which Ancient8 provides other than as permitted via agreement with Ancient8;
* Attempt to compromise, break or circumvent any technical processes or security of our systems or the systems of anyone else, including to through exposure to any viruses or other harmful program;
* Generates misleading or fraudulent trading activity, such as initiating trades in which the buyer and seller wallet address is controlled by the same person(s);
* Contribute to an effort to build a similar product or a competitive product to any Ancient8 product or service;
* Give the impression that the user’s conduct originates from Ancient8 or is approved by Ancient8; or
* Undertake any action which in Ancient8’s determination, at their sole discretion, acting reasonably, is undesirable or not in accordance with the service’s permitted purpose(s).

### 7. Know your Customer (“KYC”) and Anti-Money Laundering (AML) Policy

Ancient8 is a permissionless, fully decentralized platform. As a software development company, Ancient8 has no role in enforcing KYC by default, however, we do provide such tools for fundraising entities using Ancient8 to enforce on their users, if the entities choose to do so. The use of KYC/AML tools on Ancient8 by fundraising entities using the Service is completely at the discretion of said entities.

Although Ancient8 makes no warranty as to the merit, legality, or juridical nature of any token (including whether or not it is considered a security or financial instrument under any applicable Securities Laws), token sale or fundraiser on top of Ancient8, we nonetheless understand the need of some token projects to require KYC/AML on their token sale participants.

Therefore, and at the sole behest of fundraising entities and/or competent regulatory authorities, Ancient8 reserves the right at any time:

* To ask for any KYC documentation it deems necessary to determine the identity and location of a User.
* To restrict service and payment until identity is sufficiently determined.
* To share submitted KYC information and documentation to 3rd parties to verify the authenticity of submitted information, and the end-user (you) agrees to this by using the Service.
* To confiscate any and all funds that are found to be in violation of relevant and applicable anti-money laundering (AML) and countering terrorism financing (CFT) laws and regulations, and to cooperate with the competent authorities when and if necessary.

### 8. User Contributions

You represent and warrant that you own or control all rights in and to any content including, without limitation, all data you input into the Site or Services.

You understand and acknowledge that you are responsible for any data you submit to the Site or Services, and you, not Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

### 9. Third Party Services

The Services may include services, content, and information owned, made available, or otherwise licensed by a third party (“Third-Party Services”) or contain links to Third Party Services. The integration or inclusion of such Third-Party Services does not constitute or imply any endorsement or recommendation. Ancient8 makes no representations and excludes all warranties and liabilities arising out of or pertaining to such Third Party Services, including its accuracy or completeness.

All intellectual property rights in and to Third-Party Services are the property of the respective third parties.

### 10. Limitation of Liability

IN NO EVENT SHALL COMPANY, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE SHAREHOLDERS, MEMBERS, OFFICERS, DIRECTORS, ATTORNEYS, AGENTS, EMPLOYEES OR REPRESENTATIVES, SUPPLIERS OR CONTRACTORS BE LIABLE FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL LOSSES OR DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF THE SITE, ANY PERFORMANCE OR NON-PERFORMANCE OF THE SERVICES, OR THIS AGREEMENT, EVEN IF AN AUTHORIZED REPRESENTATIVE OF COMPANY HAS BEEN ADVISED OF, KNEW OF, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. FOR EXAMPLE (AND WITHOUT LIMITING THE SCOPE OF THE PRECEDING SENTENCE), YOU MAY NOT RECOVER FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR OTHER TYPES OF SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL LOSSES OR DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE TO YOU FOR ANY DAMAGES, LOSSES OR CAUSES OF ACTION EXCEEDING ONE HUNDRED UNITED STATES DOLLARS (US$100).

COMPANY SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES CAUSED IN WHOLE OR IN PART BY (A) UNSUPPORTED SOFTWARE OR HARDWARE; (B) THE MALFUNCTION, UNEXPECTED FUNCTION OR UNINTENDED FUNCTION OF ANY COMPUTER OR CRYPTOCURRENCY NETWORK, INCLUDING WITHOUT LIMITATION LOSSES ASSOCIATED WITH NETWORK FORKS, REPLAY ATTACKS, DOUBLE-SPEND ATTACKS, SYBIL ATTACKS, 51% ATTACKS, GOVERNANCE DISPUTES, MINING DIFFICULTY, CHANGES IN CRYPTOGRAPHY OR CONSENSUS RULES, HACKING OR CYBERSECURITY BREACHES; (C) THE CHANGE IN VALUE OF ANY DIGITAL ASSET; (D) ANY CHANGE IN LAW, REGULATION OR POLICY, OR (E) FORCE MAJEURE EVENT. THIS LIMITATION OF LIABILITY IS INTENDED TO APPLY WITHOUT REGARD TO WHETHER OTHER PROVISIONS OF THIS AGREEMENT HAVE BEEN BREACHED OR HAVE PROVEN INEFFECTIVE.

### 11. Intellectual Property

Unless otherwise indicated by us, The Ancient8 Platform and all Ancient8 Services, including their design elements or concepts and all other present and future intellectual property rights and rights in the nature of intellectual property rights that exist in or in relation to the use and access including, but not limited to, all trademarks, are the property of Ancient8 or our licensors or suppliers and are protected by applicable intellectual property laws. Unless otherwise expressly provided, we do not give any implied license for the use of the contents of the Site or the Services.

You accept and acknowledge that the material and content contained in or delivered by the Site or the Services is made available for your personal, lawful, non-commercial use only and that you may only use such material and content for the purpose of using the Site or the Services as set forth in this agreement.

You further acknowledge that any other use of content from the Site or the Services is strictly prohibited and you agree not to infringe or enable others to infringe our intellectual property rights. You agree to retain all copyrighted and other proprietary notices contained in the materials provided via the Site or the Services on any copy you make of the material but failing to do so shall not prejudice Company’s intellectual property rights therein.

You may not sell or modify materials derived or created from the Site or the Services or reproduce, display, publicly perform, distribute or otherwise use the materials in any way for any public or commercial purpose. Your use of such materials on any other website or on a file-sharing or similar service for any purpose is strictly prohibited. You may not copy any material or content derived or created from the Site or the Services without our express, written permission.

Any rights not expressly granted herein to use the materials contained on or through the Site or the Services are reserved by Company in full.

### 12. Indemnification

You agree to indemnify and hold harmless Company, its affiliates subsidiaries and their respective shareholders, directors, managers, members, officers, suppliers, contractors and employees from any and all potential or actual claims, demands, actions, proceedings, investigations, suits, damages, losses, costs or expenses, including without limitation, reasonable legal fees, fines or penalties arising out of or relating to your or any other person’s use of your credentials or User Account in connection with: (a) use of the Site or Services; (b) breach of these Terms of Service or any other policy; (c) feedback or submissions you provide; (d) false, incomplete, or misleading information relied upon by us to verify your identity and source of funds, where applicable; or (e) violation of any rights of any other person or entity; provided however, that you shall not indemnify Company for claims or losses arising out of Company’s gross negligence or willful misconduct. This indemnity shall apply to your successors and assigns and shall survive any termination or cancellation of this agreement.

### 13. Jurisdiction and Governing Law&#x20;

All matters relating to the Website and these Terms of Service and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the British Virgin Islands. For litigation arising from this Agreement, the Parties submit to the exclusive jurisdiction of the arbitration in the British Virgin Islands. Furthermore, if any arbitration is necessary to enforce the terms of this Agreement, the prevailing party will be entitled to reasonable attorneys' fees and costs.

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIM YOU MAY HAVE AGAINST US SHALL BE BROUGHT INDIVIDUALLY AND YOU SHALL NOT JOIN SUCH CLAIM WITH CLAIMS OF ANY OTHER PERSON OR ENTITY OR BRING, JOIN, OR PARTICIPATE IN A CLASS ACTION AGAINST US. YOU FURTHER AGREE TO EXPRESSLY WAIVE YOUR RIGHT TO A TRIAL BY JURY.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE OR THE SERVICES OR SITE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

### 14. Confidential Information

**Definition**. Each party to these Terms (a "Receiving Party") may have access to, or become acquainted with, certain non-public confidential information of the other party (a "Disclosing Party") including without limitation all information clearly identified as confidential at the time of disclosure (“Confidential Information”). You and Company further agree that, subject to the rights and licenses granted herein, each party's Confidential Information shall include all non-public information regarding the Disclosing party, including without limitation any customer, customer prospect, the terms, conditions and pricing set forth in any agreement and its Order Form(s), marketing, technical, business and/or strategic plans or information provided by the Disclosing Party to the Receiving party in the performance of the Services under the Agreement.

**Use and Disclosure**. Each party agrees as follows: (a) to use the Confidential Information of the Disclosing Party only for the purposes permitted by the Agreement, or as otherwise permitted by the Agreement; (b) to take all reasonable steps to ensure that the Disclosing Party’s Confidential Information is not disclosed or distributed by the Receiving Party’s employees or agents in violation of the Agreement, but in no event will either party use less effort to protect the Confidential Information of the Disclosing Party than it uses to protect its own Confidential Information of like importance; (c) to restrict access to the Confidential Information disclosed by the Disclosing Party to such of the Receiving Party’s employees, agents and third parties, if any, who have a need to have access and who have been advised of and have agreed in writing or are otherwise bound to treat such information in accordance with the Agreement; and (d) to return or destroy all Confidential Information of the Disclosing Party’s written request, after termination of the Agreement. The Receiving Party will not be obligated under this confidentiality section with respect to information that: (a) is or has become readily publicly available through no act or omission of the Receiving Party or its employees or agents; (b) is received from a third party lawfully in possession of such information and the Receiving Party has no knowledge of any disclosure restrictions on such third party to disclose such information; (c) is disclosed to a third party by the Disclosing Party without restriction on disclosure; (d) was rightfully in the possession of the Receiving Party without restriction prior to its disclosure by the Disclosing Party; or (e) was independently developed by employees or consultants of the Receiving Party without reliance on, or reference to, such Confidential Information.

**Permitted Disclosures**. Notwithstanding the foregoing, Confidential Information may be disclosed as required by any governmental agency, provided that before disclosing such information the Disclosing Party must provide the Receiving Party with sufficient advance notice of the agency’s request for the information to enable the Receiving Party to exercise any rights it may have to challenge or limit the agency’s authority to receive such Confidential Information, to the extent permitted by applicable law.

### 15. Miscellaneous

**Force Majeure**. If by reason in whole or in part of any Force Majeure Event, either you or Company is delayed or prevented from complying with these Terms of Service, then such delay or non-compliance shall not be deemed to be a breach and no loss or damage shall be claimed by you or Company by reason thereof. "Force Majeure Event" means any event beyond the party’s reasonable control, including, but not limited to, flood, extraordinary weather conditions, earthquake, or other act of God, fire, war, insurrection, riot, labor dispute, accident, action of government, communications, power failure, failure in bank performance, or equipment or software malfunction including network splits or "forks" or unexpected changes in a computer network upon which the Services rely.
